United Partner Investment Limited (BVI) (“UPIL”) which directly owns the Company shares, is wholly-owned by Deluxe Assets Holdings Limited (BVI). HSBC International Trustee Limited (“HKIT”) is the trustee of a trust that owns 100% of Deluxe Assets Holdings Limited (BVI) that has an indirect interest in the shares of the Company. HKIT is thus deemed to have an interest in the shares of the Company.
HSBC Bank plc substantially (94.9%) owns HSBC Europe (Netherlands) BV, which wholly owns HSBC Private Banking Holdings (Suisse) SA (“HPBH”). As a result of a transfer by HSBC Bank Bermuda Limited of all its shares in HSBC International Trustee Limited to HPBH, HSBC Bank plc is now deemed to be a substantial shareholder of the Company.
HPBH is a wholly-owned subsidiary of HSBC Europe (Netherlands) BV, which is substantially owned (94.9%) by HSBC Bank plc which is a wholly-owned subsidiary of HSBC Holdings plc.
