1. The percentage of issued share capital is based on 360,435,188 shares as at 2 June 2009.
2. Direct Interest in Part IV above, refers to shares held directly by ASEAN Fund.
3. Deemed Interest in Part IV above, refers to shares in which the following are deemed to have an interest:
(a) Asia Fund;
(b) AP BVI;
(c) AP Holdings;
(d) SPL; and
(e) PT, LC & ST.
Asia Fund, who has a controlling interest in ASEAN Fund and is entitled to exercise not less than 20% of the votes attached to the voting shares in ASEAN Fund, is therefore deemed interested in all the shares held by ASEAN Fund in Eu Yan Sang International Ltd (the "Company").
AP BVI, being the fund manager of ASEAN Fund and Asia Fund, is deemed to be interested in the shares of the Company held by ASEAN Fund.
AP Holdings has a controlling interest in AP BVI, and is therefore deemed interested in all the shares of the Company in which AP BVI is deemed interested in.
SPL has a controlling interest in AP Holdings, which in turn has a controlling interest in AP BVI, and SPL is therefore deemed interested in all the shares of the Company in which AP Holdings is deemed interested in.
PT, LC & ST each has 33.33% interest in SPL, and each is therefore deemed interested in all the shares of the Company in which SPL is deemed interested in.
